Important Information
Vertical Village is a shared land participation project and is not presently a sale of separately titled residential lots. References to 300 m², 450 m² and 600 m² land-share categories, approximately 120 potential future lots, future subdivision, allocation or individual titles describe intended future project objectives only. Any future rezoning, subdivision, lot configuration, development, infrastructure and individual title outcome is subject to applicable planning controls, infrastructure availability, professional assessment and approvals from relevant government and other authorities. Future timeframes, property values, capital growth and investment returns are not guaranteed. Participants should carefully review the applicable project documentation and obtain independent legal, financial, taxation and planning advice before participating.
Overview & Acceptance of Terms
These Terms & Conditions ("the Terms") form a binding agreement between you ("the Participant" or "Shareholder") and Vertical Village Pty Ltd ("the Company", "we", or "us") governing your participation in the Vertical Village Cooperative Land Project located at 110 Carr Road, Bringelly NSW 2556.
By completing the registration form, paying your initial deposit, and participating in the project, you acknowledge that you have read, understood, and agreed to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must not register or participate in the project.
Project Summary
The Vertical Village is an interest-free shared land participation project on approximately 25 acres of land in Bringelly, Western Sydney. Current zoning should be confirmed from the Section 10.7 Planning Certificate. The project concept explores the potential for approximately 120 future residential lots in three size categories (300 sqm, 450 sqm, and 600 sqm) — this is a concept only and is subject to planning, engineering and authority approvals (STCA). Participants can commence with a minimum 10% initial deposit and complete the balance through 42 monthly instalments (3.5 years), with project maturity on 9 March 2029.
Note: Current zoning should be confirmed from the Section 10.7 Planning Certificate. Any future subdivision, rezoning, or development remains subject to government approvals, planning controls, and statutory processes.
Member Eligibility
To be eligible to participate in the Vertical Village Cooperative Land Project, you must:
- Be minimum 16 years of age or older.
- Have a solid understanding of the cooperative land project, including project terms, long-term value considerations, exit options, and the project roadmap.
- Have the initial deposit ready — you may start with a small deposit and pay the remaining balance in instalments.
- Provide complete and correct information as requested in the registration form.
- Establish your identity by providing a copy of your driver licence or passport via WhatsApp to 0499 001 199.
Registration Process
Without completing the registration form, supplying your identity document, and providing a payment receipt, your participation in the project is not confirmed. The registration process involves the following steps:
- 1.Complete the Shareholder Registration Form available at our registration page.
- 2.Send a copy of your driver licence or passport by WhatsApp message to 0499 001 199.
- 3.Pay your initial deposit to confirm your spot.
- 4.Upon receiving your documents and payment receipt, your membership number will be confirmed.
- 5.Official money receipts will be provided every time you make a payment.
- 6.Upon completing the full amount of your share, you will receive a share certificate.
Valid & Current Information
Please ensure there are no spelling mistakes when completing the registration form. Your information must be correct, valid, and up to date. The company will use this information to establish your land share ownership certificate. After the trust certificate is ready, if you wish to change, delete, or add any details, a $500 fee will be charged by the solicitor. You can only change shareholder details, but NOT the unit holder's name.
Land Allocation & Lot Yield Strategy
Each of our land projects is divided into two parts: a Usable Part (for subdivision) and a Waste Part (roads, parks, drainage, infrastructure). We estimate how many future lots (shares) can be yielded from the usable part using conservative calculations based on trend data, neighbouring developments, and site-specific analysis.
We have adopted a historically informed and conservative approach. In our planning, we have allocated less than 50% of the total land area for future lot yield, reserving over 50% for essential infrastructure and community amenities — including internal roads, footpaths, parks, drainage systems, playgrounds, gardens, a multi-faith centre, and other shared facilities.
Estimated Yield
The current concept explores the potential for approximately 120 future lots. This is an indicative planning assumption only. The final subdivision yield, lot sizes and configuration will depend on future planning controls, infrastructure, engineering, environmental requirements and all necessary authority approvals. The concept categories are 300 sqm, 450 sqm, and 600 sqm.
Each share category is further divided into four sales stages. These stages are based solely on the price structure and are not linked to land development or release timing. We are currently in Stage Two, selling the next set of shares. Once sold, we proceed to the next stage at the set target price.

Initial Deposits & Repayments
The standard payment structure requires a minimum initial deposit of 10% of the share price, with the remaining balance paid over 42 monthly instalments. You are welcome to pay more upfront if you wish — the more you contribute upfront, the lower your ongoing instalment payments. The minimum required initial deposits and repayments for each category are:

Flexible Payment Option
If you are unable to follow the standard payment structure, you may propose a deferred payment plan based on your own financial capacity — including higher/lower upfront deposits, adjusted repayment amounts, or additional lump sum payments. All proposed arrangements must be discussed with and approved by the Directors at Nirala Holdings before being formally documented. You may begin with a minimum upfront payment of $10,000 and complete the remaining agreed deposit shortly after approval.
Repayments must be made on or before the due date each month to avoid penalties — a $50 daily late fee applies for overdue payments without prior notice. Genuine hardship situations may be considered with appropriate supporting documentation. Members must submit a written request in advance to defer or temporarily pause repayments.

Use of Superfund (SMSF)
You can purchase a land share using your superfund — paying either partial or full amount. You will need to set up a Self-Managed Superannuation Fund (SMSF). Our dedicated team can assist you with SMSF setup.
- If paying by superfund, initially pay $10,000 immediately to hold your spot. The rest can be paid through SMSF once setup is ready.
- Upon receiving funds from your super, your initial $10,000 will be refunded to your SMSF.
- SMSF setup costs approximately $1,200 and takes about 8–12 weeks to complete.
- Ensure your existing superfund company details are ready before beginning the process.
Rewards & Incentives
Referral Discount — $1,000
If you are referred by any existing shareholder, you will receive a $1,000 discount from the total value of your land share. This discount is applied either on your first receipt or the very last receipt. If not applied, we can always adjust it after it becomes apparent who genuinely referred you.
Full Payment Benefits (Stage 2 Onward) — Four Benefits
The previous Stage 1 full-payment discount promotion — including the $5,000 / $7,000 / $10,000 full-payment discounts and the per-month early-payment discounts — has been retired and is no longer offered.
From Stage 2 onward, shareholders who complete the total amount payable for their land share unlock the following four benefits under the applicable project terms:
- • Monthly Dividend Payment (0.1%) — a monthly payment of 0.1% of the total amount paid commences from the month after full payment.
- • Lottery Draw Entry Serial — your serial of entry into the lottery draw is secured by the order in which you complete full payment (60 serials for 300 sqm, 30 for 450 sqm, 30 for 600 sqm), ahead of instalment shareholders.
- • Project Ambassador & Referral Rewards — you are entitled as a Project Ambassador. For each successful referral you receive $2,000 and the new buyer receives a $2,000 rebate (applied to their final instalments). A Project Associate (an instalment payer) who refers a new buyer gives the new buyer a $1,000 discount on their total amount payable.
- • Completion Certificate & Company Register — you receive a Payment Completion Certificate and hold 1 of 120 shares in the company, representing 49% of the land holdings for future lot subdivision.
Exit charge: a $10,000 project admin fee applies to any withdrawal before project settlement (9 March 2029), regardless of whether the shareholder has completed full payment. No exit charge applies after settlement.

Return on Investment
Property values may rise or fall over time. The project's location within the broader Western Sydney growth and infrastructure corridor may provide long-term opportunities; however, future land values, capital growth and investment returns cannot be predicted or guaranteed.
Long-Term Value Considerations
After project maturity, participants may seek to transfer or sell their interest subject to the applicable project documents. Any sale price will depend on market conditions and buyer demand at that time.
Participation places savings into a real land asset positioned within one of Sydney's emerging future corridors. Past growth trends do not guarantee future outcomes.
Buy Back Option
Land in strategic growth corridors rarely moves backward in value, particularly in high-potential locations like Bringelly, where the new Western Sydney International Airport and Bradfield City are rapidly transforming the region. Historically, land in and around Bringelly has shown annual growth trends of approximately 6% to 10%, sometimes even more. The value of your land share will grow each year with zero maintenance and no ongoing expenses.
The tables below demonstrate the projected growth of your investment over the five years following settlement in 2029, based on the standard median annual growth estimated of variable 8% (non-compounded). After settlement, if you decide to exit and are unable to sell your share at your expected price, the company may buy back your share based on the projected values outlined in the tables.

Exit Options
At Vertical Village, we recognise that circumstances can change. We offer flexible exit options. You can choose a straightforward exit (accepting loss of deposit), find someone to take over your share, continue until settlement, or resell after settlement. Our goal is to make both entry and exit simple and transparent.
Straightforward Exit (Before Settlement)
Your initial deposit will be forfeited and a $10,000 project admin exit charge applies. The remaining balance paid (excluding deposit and the $10,000 exit charge) will be refunded within 13 weeks from the date we receive your written exit request. We encourage open communication to explore alternatives before a final decision.
Transfer Your Share (Before Settlement)
Find a buyer and transfer your share — you will not lose your initial deposit. A $1,200 name transfer fee applies for administrative and legal processing. You decide the sale price; if the buyer pays more than your original amount, the profit goes entirely to you.
Pause Participation (Before Settlement)
A shareholder who cannot forfeit their deposit may pause participation until settlement. Submit a formal written notice requesting the shareholding be set aside without cancellation. Upon settlement, the full refund (including deposit) is processed within 13 weeks to your nominated bank account.
Exit After Project Maturity (After Settlement)
No exit penalty applies. After project maturity, participants may seek to transfer or sell their interest subject to the applicable project documents. Any sale price will depend on market conditions and buyer demand at that time. A $1,200 administration fee applies for name change and new shareholder registration.
Exit After Subdivision — Potential Individual Title (STCA)
If the required subdivision approvals are obtained and the subdivision is successfully completed and registered, eligible participants are intended to receive their allocated individual lot in accordance with the project documents. Following successful subdivision, registration and transfer, an individual lot owner may retain, sell or seek to develop the property subject to applicable laws, planning controls and approvals. No penalties or administrative fees apply to the transfer itself.
Land Layout & Allocation
Temporary Layout (After Settlement)
The first layout will be published right after settlement. Land allocation is provided through a lottery draw along with land ownership documents. This first layout is not permanent — it will change according to the IPL (Indicative Planning Layout) plan published by the government. The aim of temporary allocation is to provide you access to your land (conditions apply).
There will be 120 blocks of shares. Shareholders enter the lottery draw based on their share purchase serial number (VV000). Each shareholder can put a preference to reserve adjacent lands for friends or relatives — you can choose only the vacant land next to yours.
Permanent Layout (After IPL)
When the IPL (Indicative Planning Layout) is published by the government, we will get the permanent layout done, and the land blocks will be distributed again through a lottery draw.
Project Roadmap
The project follows a structured 5-stage roadmap. You may choose to exit at any stage, and we are committed to working with you for a smooth experience.
Stage 1
Entry Process — Registration & Purchase
Prospective members join by completing formal registration and making the initial instalment. Each payment is acknowledged with an official receipt. Upon confirmation of initial payment, members receive a Deed of Purchase certifying their stake.
Stage 2
Active Participation — Payments & Trust Certificate
Members continue payments per the cooperative's schedule, each instalment documented. Once all agreed payments are completed and the cooperative finalises land purchase, members receive a Trust Certificate confirming their ownership share.
Stage 3
Income Generation — Agro-Tourism
Members develop agro-tourism ventures (hayrides, farmers markets, pick-your-own harvest events) to generate interim income and cover holding costs while formal rezoning and development approvals are pending.
Stage 4
Subdivision Preparation — Planning & Infrastructure
The cooperative pools remaining funds for development costs and works with local authorities to secure rezoning and subdivision approvals. Civil engineers design and construct roads, water, sewer, drainage, and utilities per council standards.
Stage 5
Final Subdivision & Lot Allocation
The property is officially surveyed and divided into individual residential lots. Lot assignments are determined by a public lottery draw. Each member receives the formal title or deed for their allocated lot.
Late Payment Penalty & Share Termination
Late Payment Penalty
You are required to make at least the minimum instalment per month per share. Payment should arrive within day seven of each month. If unable to pay by day seven, you must notify us in writing with the reason for delay. Without compelling reason or communication, a $50 per day late penalty applies. Accrued late fees are added to your total cost. Until total payment is cleared, your lot ownership certificate will not be released.
Share Termination Due to Non-Payment
If you do not make any payment for more than three consecutive months, your share will be automatically terminated and made available to others on the waiting list. All money paid so far will be returned after deducting your full initial deposit, within 13 weeks from the official termination date.
Ongoing Costs & Hidden Fees
The current land-share amount covers the costs specified in the applicable project documents up to the relevant project stage. If future subdivision and development proceeds, additional development and infrastructure contributions will apply. The current package is intended to cover:
You are not required to pay ongoing costs to manage the land or project up to the relevant project stage. Potential future costs may include planning, surveying, engineering, roads, drainage, sewer, water, electricity, earthworks, landscaping, fencing, utility connections, authority contributions, registration and other subdivision-related requirements. Any new costs will be transparently communicated.
Project Maturity & Early Exit Terms
The project is set to mature on 9 March 2029 (42 months from registration). Participants are expected to remain involved for the full duration. While you may exit before maturity, doing so results in forfeiture of your initial deposit and a $10,000 project admin exit charge. The remaining balance is refunded within 13 weeks of receiving your written exit request. The $10,000 exit charge applies to any withdrawal before settlement, regardless of whether the shareholder has completed full payment. No exit charge applies after settlement.
Alternatively, you may sell, transfer, or exchange your land share at any time and at any price. A $1,200 administration fee applies to cover company updates, director and legal meetings, meeting minutes preparation, solicitor validation, and accountant engagement.
Exit Within First & Last Six Months — Restricted
Shareholders are not permitted to exit within the first 6 months from registration, nor within the final 6 months before settlement. These restrictions ensure project stability. In exceptional circumstances where a shareholder must exit during these restricted periods, the initial deposit will be forfeited as penalty. Remaining funds (if applicable) are refunded within 13 weeks following the project's settlement date.
Exit After Project Maturity — No Penalty
There is no penalty for exiting after project maturity. You have authority to decide the sale value, buyer, and timing. The consortium will notify interested groups. If your sale price is reasonable, there will be many interested parties.
Unit Trust Setup
After land settlement (9 March 2029), we establish a Corporate Unit Trust to distribute ownership of each lot through issuing Trust Certificates to each unit holder. The goal of the unit trust is to release ownership to you according to what you paid to hold a part of this project. Once your full payment is made, your ownership certificate is released.
Unit Trust Equivalents
• A 300 sqm share = 2 units of unit trust
• A 450 sqm share = 3 units of unit trust
• A 600 sqm share = 4 units of unit trust
Accept Minor Variation of Your Land Size
When you purchase a land share — whether 300 sqm, 450 sqm, or 600 sqm — your price is based on the net usable land area. This means you will never receive less than the amount of land you are buying. In most cases, your final allocated lot will actually contain a few extra square metres.
It is practically impossible to establish all 60 lots at exactly 300 sqm, or all 30 lots at exactly 450 sqm, or all 30 lots at exactly 600 sqm. Surveying, road alignments, drainage easements, utility corridors and council requirements all influence the final lot boundaries.
Up to 5 sqm Extra — No Charge
If your final allocated lot is 1 to 5 sqm more than your purchased size (e.g., 302 sqm, 452 sqm, 605 sqm), you pay nothing extra. This minor variation is accepted as part of the subdivision process.
Over 5 sqm Extra — $500/sqm
If your final allocated lot exceeds your purchased size by more than 5 sqm, the additional area is charged at $500 per square metre at the time of allocation. For example, if you purchased 300 sqm and receive 308 sqm, the extra 8 sqm minus the 5 sqm tolerance = 3 sqm × $500 = $1,500.
Acknowledgement & Acceptance
By participating in the project, you acknowledge and accept that a minor variation in final lot area may occur to accommodate essential infrastructure such as roads, parks, drainage, utility services, public reserves and other community facilities.
Dispute Resolution
Disputes can arise in various contexts — business directions, ideas implementation, contracts, or disagreements between individuals. Directors will take every effort to protect harmony and fairness for all.
Resolution Process
After three attempts at mediation, the company will conduct a vote to obtain a verdict. A 60% vote on any matter will be accepted and applied as a resolution. All shareholders will be notified to participate in voting.
Lot Distribution & Corner Lots
If subdivision approval is obtained, the final number and configuration of lots will be determined by the approved subdivision plan. The current approximately 120-lot layout is conceptual only. A draft layout would be created and distributed to unit holders via a lottery draw.
Corner Lots — $30,000 Premium
Corner lots are always favourites. A $30,000 extra applies to corner lots. If you want to keep a corner lot drawn in the lottery, you must pay the extra $30,000. The total extra fund is distributed equally to the non-corner block owners.
Consecutive Lots for Multi-Share Buyers
How multiple shares are allocated side by side
When you buy more than one land share, your lots are allocated consecutively by default. This means your allocated lots will be next to each other — not scattered across the subdivision.
During the lottery draw, if you pick a lot number and you have purchased multiple shares, the remaining shares are automatically assigned to the immediately adjacent lots.
Example: 3 Shares of 300 sqm
You draw Lot 51 → you receive 51, 52, 53 automatically.
Example: 2 Shares of 300 sqm
You draw Lot 42 → you receive 41–42 or 42–43.
This consecutive allocation policy ensures that family members, friends, or investors who purchase multiple shares together can enjoy adjacent land holdings — making it easier to coordinate future development, shared access, or combined use of the land.
Land Development Obligations
When the time arrives for land development, every unit holder is given 24 months to accumulate their fund. Future development costs cannot presently be determined accurately. Costs will depend on the approved subdivision, civil engineering requirements, roads, drainage, infrastructure, authority contributions, utility servicing and market construction costs applicable at that time. Future subdivision and civil development costs are separate from the current land-share purchase amount.
If You Cannot Arrange Development Funds
If you become unable to arrange the fund in 24 months, you can either:
- • Sell a portion of your land to arrange development cost
- • Sell the entire share at a profitable price
You cannot stay unconcerned or irresponsible for development — the project must move ahead for the greater benefit of all participants. If you have insufficient funds, let us know — we will either help sell a portion of your land or put joint effort to sell your share at a profitable price.
Development Cost Is Equal Per Block
Irrespective of block size or land amount, the cost of bringing essential utility services in front of each block is equal across all blocks.
Bereavement Policy
In case of bereavement of a unit holder, the Directors will take every effort to transfer ownership to the beneficiaries. Ownership is transmitted based on the percentage of ownership allocated to each beneficiary by the departed unit holder.
Documentation Required
A certified copy of the Death Certificate must be provided to validate the bereavement.
Project Risk
Participation involves risks, including planning, market, development, infrastructure, timing and project risks. Participants should carefully review the project documents and obtain independent professional advice before participating. Up to project maturity, participants are liable to pay the agreed land-share amount as set out in the project documents.
Refund Guarantee if Project Does Not Settle
Due to any adverse situation, if the project does not settle by 9 March 2029 (42 months), the full amount that you have paid will be refunded within 13 weeks of your written notification for fund withdrawal.
Debt-Free, Self-Funded Structure
The Vertical Village project has always been funded entirely from the contributions of Directors, Investors, Shareholders and the Management Body. The company has never relied on bank loans, interest-bearing debt or external finance in any form. The project carries no bank liability and does not take on any interest-based borrowing. This self-funded, debt-free structure means the project is not exposed to the risks associated with interest-bearing finance or lender obligations. If the company cannot proceed due to insufficient funds, shareholders are not responsible to bear any additional cost beyond what has been mutually agreed.
Change of Ownership
Shareholder Details Change — $500 Fee
After the trust certificate is ready, changes to shareholder details (excluding unit holder name) incur a $500 fee charged by the solicitor.
Unit Holder Name Change — $1,200 Fee
After Unit Trust setup completion, changing the unit holder name incurs a $1,200 admin fee covering directors meeting, meeting minutes, solicitor validation, and accountant engagement.
Group Purchase Options
Can't afford alone? Buy as a group. Two options:
(1) A Company: We can set up a company where each member is a shareholder. Register under one director's name initially. The director is the point of contact.
(2) A Statutory Declaration: Complete a declaration form listing each group member's name, ID, address, phone, and contribution amount. Register under one member's name. The lead member is the point of contact.
