Pre-launch / Expression-of-interest mode
This project is currently in pre-launch. The website does not accept investment funds, execute binding agreements, allocate investment units, or make public financial-product offers. These functions will be enabled only after Australian financial-services legal advice confirms the appropriate structure and compliance pathway.

An alternative to purchasing a future land allocation
Vertical Village is a cooperative property project located at 110 Carr Road, Bringelly, within the broader Western Sydney growth region.
While some participants wish to acquire interests associated with future land allocations, others may prefer a shorter-term financial participation arrangement without committing to a particular future lot.
The proposed Vertical Village Property-Backed Investment Partnership is designed to accommodate those interested in sharing the project's economic performance over a selected period.
Participants would contribute capital to an approved investment structure and receive an economic entitlement determined by their contractual participation rights, the project's eligible income, applicable costs, and changes in the value of the relevant underlying assets.
Investors would not automatically receive ownership of a specific land lot, registered title or security interest. Their precise legal rights would be set out in the executed investment documents.
Buying a future land allocation vs. investing in the partnership
Future land allocation
- Participant acquires an interest associated with a specific proposed future lot
- Longer-term commitment through to project settlement
- Lot selection, lottery draw serial and land-share pricing apply
Investment partnership
- Participant contributes capital for a chosen term without selecting a specific lot
- Shorter-term participation from six months to five years
- Economic entitlement based on contractual participation, eligible income and asset performance
How the partnership is intended to work
Choose your contribution
An applicant can express interest in investing an amount of their choosing, including amounts such as $10,000, $25,000, $50,000, $100,000 or more. Acceptance depends on the final legal structure, investor eligibility, and approval.
Select your preferred term
Available proposed durations are six months, twelve months, eighteen months, two years, three years, four years or five years.
Complete identity and suitability information
Before participation, the investor would receive relevant risk disclosures, documentation of their rights, and the applicable investment agreement.
Funds are contributed
Approved funds are contributed to the designated investment structure. Capital would be applied only in accordance with the governing documents, approved purposes and applicable legal requirements. Funds must not be collected through the preliminary website application.
Investment is assessed over time
The project would record relevant operating revenue, expenditure, investment performance, and independent property valuation evidence.
Position is reconciled at maturity
Provisional distributions already received would be taken into account, and the final amount payable could be greater or less than the investor's original contribution.
Flexible investment amounts
There is no advertised minimum. Applicants may propose an amount that suits their circumstances. Acceptance of any amount would depend on the final legal structure, investor eligibility and approval.
Available investment durations
Each investor's investment commencement date should be the date confirmed in their executed agreement after receipt and acceptance of cleared funds. Both parties should communicate renewal or exit intentions at least 30 days before the scheduled maturity date. An extension must be agreed in writing — the original term should not renew automatically.
| 6 months | Six-month maturity |
| 12 months | First anniversary |
| 18 months | Eighteen-month maturity |
| 2 years | Second anniversary |
| 3 years | Third anniversary |
| 4 years | Fourth anniversary |
| 5 years | Fifth anniversary |
A scheduled maturity date does not guarantee that the investment can be liquidated on that date. The governing documents must explain how redemptions are funded, what happens if cash is insufficient, and whether withdrawals can be delayed or suspended.
How property valuation affects investment performance
How property valuation affects investment performance
The underlying land may appreciate or depreciate in value over time. Valuations should consider independent professional assessments, comparable local property transactions, planning status, land-use restrictions, development prospects and prevailing market conditions.
The actual calculation must reflect the investor's contractual economic participation, not simply the property's headline market growth. A 10% rise in land value does not automatically mean each investor has earned 10%.
How eligible operating income is calculated
Subject to verification and appropriate legal allocation, the project may generate income from accommodation, room rentals, farm activities, livestock, private functions, picnics and other permitted uses.
Only eligible net operating income should be considered. Gross rental receipts, for example, are not equivalent to distributable profit. Maintenance, insurance, utilities, management costs, taxes, vacancy, regulatory expenses and other liabilities may need to be deducted.
The financial model must also avoid double-counting operating income already reflected in the property's valuation.
Provisional distribution policy — 2% per annum
The proposed distribution facility is intended to assist investors who prefer receiving some cash during their investment period rather than waiting until maturity.
The project may make provisional distributions calculated by reference to an annual amount of up to 2% of the investor's original capital, subject to available distributable profit, cash flow, and the approved investment agreement.
This 2% is not a guaranteed interest rate or an additional return on top of the investor's final entitlement. It is an advance against the investor's eventual share of investment performance.
At the end of the investment term, the total distributions already received would be deducted from the investor's final entitlement. If the final entitlement is insufficient to cover the advances, the investor must repay or otherwise settle the excess in accordance with the governing agreement.
A final legal and Sharia review must determine whether provisional distributions can be paid before profits are actually established, how they are funded, and whether the proposed repayment mechanism is permissible.
Illustrative distribution amounts
| Investment | Annual 2% | Monthly equivalent | Quarterly equivalent |
|---|---|---|---|
| $10,000 | $200 | $16.67 | $50 |
| $25,000 | $500 | $41.67 | $125 |
| $50,000 | $1,000 | $83.33 | $250 |
| $100,000 | $2,000 | $166.67 | $500 |
| $250,000 | $5,000 | $416.67 | $1,250 |
| $500,000 | $10,000 | $833.33 | $2,500 |
Monthly amounts are rounded for display; the final payment in a year should be adjusted so the total does not exceed the applicable annual allowance. Figures are illustrative, not promised payments.

Illustrative maturity calculations
Investor's final economic entitlement = original capital + allocated net investment gain (or − allocated loss) − provisional distributions already paid.
Example A — $50,000 investment for six months
Assume $500 in provisional distributions has been paid over six months.
| Annualised net return | Six-month gain | Advances paid | Final maturity payout |
|---|---|---|---|
| 6% | $1,500 | $500 | $51,000 |
| 7% | $1,750 | $500 | $51,250 |
| 8% | $2,000 | $500 | $51,500 |
| 9% | $2,250 | $500 | $51,750 |
| 10% | $2,500 | $500 | $52,000 |
Example B — $50,000 investment for twelve months
Assume $1,000 in provisional distributions has been paid over twelve months.
| Annualised net return | Annual gain | Advances paid | Final maturity payout |
|---|---|---|---|
| 6% | $3,000 | $1,000 | $52,000 |
| 7% | $3,500 | $1,000 | $52,500 |
| 8% | $4,000 | $1,000 | $53,000 |
| 9% | $4,500 | $1,000 | $53,500 |
| 10% | $5,000 | $1,000 | $54,000 |
Example C — What happens if the investment loses value?
Suppose an investor contributes $50,000 for twelve months and has already received $1,000 in provisional distributions.
- If the investor's allocated net investment result is negative 5%, the economic loss is $2,500.
- The investor's final entitlement before deducting advances is $47,500. After deducting the $1,000 already received, the maturity payment becomes $46,500.
- If there is no growth or loss, the maturity payment would be $49,000, because $1,000 was already distributed.
- This mechanism ensures that the investor does not retain provisional distributions in addition to the final economic entitlement.
Investment maturity, renewal and withdrawal arrangements
At maturity, the investor's final economic entitlement shall be calculated using the approved valuation and allocation methodology. Any applicable redemption request shall be processed according to the governing documents, available liquidity and applicable legal requirements.
The agreement must clearly describe circumstances in which a withdrawal can be delayed, suspended, partially paid or refused. Early withdrawal shall require a separate written procedure. Any fees must be disclosed in advance and must not be imposed retrospectively.
An investor may request to renew their participation for a further approved term. Renewal shall be subject to a fresh agreement or legally effective variation, an updated assessment of the investment, and the operator's approval. No automatic renewal shall occur without the investor's express consent.
Investing from personal savings
Interested applicants may explore participating using personal savings or other legitimately available funds, subject to their financial circumstances and the applicable offer eligibility requirements.
Applicants should consider whether they can afford to have their capital committed for the selected period, including the possibility of delayed withdrawals and investment losses.
Investing through a self-managed superannuation fund
A self-managed superannuation fund may be able to invest in certain property-related structures, but only where the proposed investment is legally permissible and consistent with the fund's obligations.
SMSF trustees must consider the sole-purpose test, investment strategy, arm's-length requirements, related-party restrictions, in-house asset rules, liquidity and diversification. These rules can prevent a proposed investment even where the underlying asset is land.
The website should not instruct people to withdraw ordinary superannuation balances into their personal bank accounts or promise that SMSF money can be invested in Vertical Village. Instead, prospective SMSF investors are invited to seek advice from their accountant and appropriately licensed financial adviser, and submit an enquiry for further information.
Investment risk and capital preservation
Investment risk and capital preservation
Vertical Village recognises that land is a tangible asset; however, tangible assets are not immune from losses.
Property values may fall, operating income may be insufficient, market liquidity may deteriorate, and regulatory or planning changes may adversely affect the investment.
The proposed investment is not a bank deposit, fixed-interest arrangement or capital-guaranteed product. Investors must acknowledge that they may receive less than their initial investment and, in severe circumstances, could lose all invested capital.
Unless a separate, legally enforceable guarantee or security has been established, neither the project nor its directors should be represented as guaranteeing repayment.
Islamic profit-and-loss-sharing principles
The investment is intended to follow an Islamic profit-and-loss-sharing approach rather than a conventional interest-bearing loan.
The operator shall not promise a predetermined investment return or guaranteed capital preservation.
The final structure should be independently reviewed to determine whether a Musharakah, Mudarabah or another appropriate arrangement is suitable, including the allocation of management responsibilities, losses and profits.
The agreement should not claim Sharia certification until such certification has actually been obtained.
Beneficiary and estate administration
If an investor dies during the investment period, their investment interest shall be dealt with in accordance with the applicable law, governing documents, valid estate-planning arrangements and instructions of the legally authorised personal representative.
The application may collect a nominated beneficiary's details for administrative and estate-contact purposes. However, nomination alone shall not automatically transfer ownership or override a valid will or succession law.
Any binding beneficiary nomination facility must be specifically supported by the legal investment structure.
Proposed terms and conditions
The following provisions are intended as the basis for the future Property-Backed Investment Partnership Agreement. They are not yet an executable agreement.
